Uipad Terms of Service

Welcome to Uipad ("we," "our," or "us"). Please read these Terms of Service ("Terms") carefully before using our website and services. By accessing or using Uipad, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.
1. Description of Service
- 1.1 Uipad is a Software-as-a-Service (SaaS) platform designed to assist event organizers in structuring, planning, and managing offline events. The service includes AI-driven "Activity Block" recommendations, digital invitation systems, large-screen display interfaces ("Sign-in Wall", "Lucky Draw"), and remote control systems.
- 1.2 Role of Uipad: Uipad provides the software infrastructure only. We do not host physical events, nor do we interact directly with your event participants. You, as the registered "Organizer," are solely responsible for the creation, management, and execution of your events.
2. Account Registration and Deletion
- 2.1 Registration: To use the core features of Uipad, you must register for an Organizer account using a valid email address. You are responsible for maintaining the confidentiality of your account credentials.
- 2.2 Permanent Deletion: We respect your right to data ownership. You can permanently delete your account and all associated event data at any time by navigating to Profile → Account Settings and selecting the account deletion option. Once deleted, this data cannot be recovered.
3. AI-Generated Content Disclaimer (Gemini)
- 3.1 Uipad utilizes third-party artificial intelligence models (including Google Gemini) to generate event flows and recommendations. All AI-generated content, schedules, and ideas are provided on an "as-is" and "as-available" basis for inspirational purposes only.
- 3.2 We do not guarantee the accuracy, safety, feasibility, or legality of any AI-generated suggestions. As the Organizer, you are solely responsible for vetting, reviewing, and modifying the event plan to ensure it complies with local safety regulations and laws. Uipad shall not be liable for any physical injury, property damage, or legal disputes arising from your execution of AI-generated ideas.
4. Content and Participant Data (Organizer's Sole Liability)
- 4.1 Data Pre-loading: Uipad's system architecture requires the Organizer to pre-load all screen assets, background music, images, and participant lists. Event participants only interact via validation codes and cannot upload any user-generated content (UGC) to the screen.
- 4.2 Your Responsibility: You represent and warrant that you own or have obtained all necessary licenses, rights, consents, and permissions (including copyright, portrait rights, and privacy consents of your participants) for all materials and names uploaded to Uipad.
- 4.3 Indemnification: You agree to indemnify and hold harmless Uipad and its developer from any third-party claims, lawsuits, or damages arising from copyright infringement, defamation, or privacy violations related to the content displayed on your event screens or invitations.
- 4.4 Content Monitoring: We reserve the right (but have no obligation) to terminate or freeze accounts displaying content that violates international laws, contains explicit adult material, or promotes hate speech.
5. Pricing, Billing, and 72-Hour Archiving Policy
- 5.1 Pay-per-use Model: Uipad operates on a pay-per-use basis per event publication. Once an event is activated and the screen/remote control system goes live, the service is deemed fully rendered, and fees are non-refundable.
- 5.2 72-Hour Automatic Archiving: To maintain server performance and prevent systemic abuse, any activated event will be automatically shifted to an "Archived" (read-only) state exactly 3 days (72 hours) after it goes live. Once archived, the screen display, remote switching, and editing functions will be permanently locked. Reusing a single paid event slot for multiple distinct physical gatherings is strictly prohibited.
6. Hardware and Infrastructure Disclaimers
- 6.1 Self-Hosted Infrastructure: Our international services are operated on servers located in the United States, with backups secured in Europe. While we strive for maximum uptime, we do not guarantee uninterrupted service.
- 6.2 Venue Environment Disclaimer: Uipad is a pure software platform. We are entirely exempt from any liability regarding real-world venue technical failures. This includes, but is not limited to: venue Wi-Fi disconnection, local cellular network latency, projector or LED screen hardware malfunctions, or color/sizing discrepancies when printing physical hand-held materials designed via our platform.
7. Limitation of Liability
- 7.1 To the maximum extent permitted by applicable law, in no event shall Uipad or its developer be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.
- 7.2 Our total liability for any claims arising out of or relating to these Terms or the use of the service shall not exceed the total amount actually paid by you to Uipad for the specific single event creation that triggered the claim.
8. Dispute Resolution and Class Action Waiver
- 8.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where the developer resides, without regard to conflict of law principles.
- 8.2 Arbitration: Any dispute arising out of or in connection with these Terms shall be resolved through final and binding arbitration rather than in court.
- 8.3 Class Action Waiver: YOU AND UIPAD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
